These Terms of Service ("Terms") govern your access to and use of Artemis Scale's market intelligence platform, website, and related services (collectively, the "Service"), operated by Artemis Scale ("we," "our," or "us").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Artemis Scale provides a B2B market intelligence platform that monitors publicly available data sources to identify and deliver market signals relevant to your target account profile. Our Service includes:
All intelligence is derived from publicly available data sources. We do not access, process, or store your internal CRM data, customer records, or any proprietary internal business information.
To access the Service, you must complete our intake process and be accepted as a client. You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@artemisscale.pro if you suspect any unauthorised access to your account.
Pilot Sprint: New clients begin with a 14-day Pilot Sprint engagement. Payment for the Pilot Sprint is due in full prior to commencement. The Pilot Sprint is non-refundable once the signal engine has been configured for your ICP.
Monthly Retainer: Following the Pilot Sprint, continued access to the Service is billed on a monthly basis. Your retainer begins on the date you confirm conversion to a monthly plan.
Payment terms: All fees are due in advance of each billing period. We use third-party payment processors and do not store your payment card information. Failed payments may result in suspension of your Service access.
Cancellation: You may cancel your monthly subscription at any time with 14 days' written notice. Cancellation takes effect at the end of your current billing period. No partial-month refunds are issued. Upon cancellation, your access to the platform and all accumulated signal history will be terminated.
Price changes: We reserve the right to change our pricing with 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
You agree to use the Service only for lawful business purposes and in accordance with these Terms. You must not:
Ownership: All signal intelligence, methodologies, scoring algorithms, and platform infrastructure are the proprietary property of Artemis Scale. Your subscription grants you a non-exclusive, non-transferable licence to use the delivered intelligence for your internal business purposes.
Accuracy: We strive to deliver accurate and timely market intelligence. However, signal data is sourced from public third-party sources and is provided on an "as-is" basis. We do not warrant the accuracy, completeness, or fitness for a particular purpose of any signal data.
Your ICP data: Information you provide to configure your signal engine (target markets, account lists, ICP specifications) is used solely to operate and improve your Service. We do not share this configuration data with other clients or third parties.
Account history: Signal history accumulated during your subscription is available to you while your account is active. Upon termination, this data is permanently deleted and cannot be recovered.
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service ("Confidential Information") and to use it only for purposes of the Service. This obligation does not apply to information that is or becomes publicly known through no breach of these Terms, or that the receiving party can demonstrate was independently developed without use of the disclosing party's Confidential Information.
The Service, including all software, algorithms, designs, text, graphics, and other content, is owned by Artemis Scale and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain ownership of any ICP specifications, account lists, and business information you provide to configure your Service. By providing this information, you grant us a limited licence to use it solely for the purpose of delivering your Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. MARKET INTELLIGENCE DATA IS PROVIDED FOR INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR COMMERCIAL ADVICE. OUTREACH DECISIONS AND THEIR LEGAL COMPLIANCE REMAIN ENTIRELY YOUR RESPONSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTEMIS SCALE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Artemis Scale and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your outreach activities conducted using signal intelligence delivered by the Service.
Either party may terminate the Service relationship at any time. You may cancel per Section 3. We may suspend or terminate your access immediately, without prior notice, if we reasonably believe you have materially breached these Terms, engaged in fraudulent activity, or your continued use poses a risk to other users or the integrity of the Service.
Upon termination, all licences granted under these Terms cease immediately. Sections 5 (Data ownership), 7 (Intellectual Property), 8 (Disclaimers), 9 (Limitation of Liability), and 10 (Indemnification) survive termination.
These Terms are governed by and construed in accordance with applicable commercial law. Any disputes arising under these Terms shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
We may update these Terms from time to time. We will notify you of material changes by email or prominent notice within the platform at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artemis Scale regarding the Service and supersede all prior agreements, representations, and understandings.
